Agreement to terms

Welcome to Paylist. These Terms of Service ("Terms") govern your access to and use of our software platform, services, and website (collectively, the "Services"), which are operated by MYPAYLIST LTD (Company No. 16935308). By accessing or using our Services, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use the Services.

Eligibility and account registration

You must be a legally registered business entity, a sole trader, or an authorised representative of a business, and at least 18 years old, to use the Services. You agree to provide accurate, complete, and up-to-date information during registration and to keep such information current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, and you must notify us immediately of any unauthorised use.

Description of the service

Paylist provides a subscription-based software platform that enables businesses to publish, discover and manage bank payment details and related contact information, send invitations to other businesses, and (on eligible plans) synchronise contact data with third-party accounting software. The Services may include the collection, storage, and processing of banking and financial details provided by you or your authorised users. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice, save that removal of material functionality during a paid subscription term will entitle you to a pro rata refund of prepaid fees for the affected period.

Verification and administrator approval

All business accounts are subject to verification before they are listed in the Paylist directory or assigned a Paylist number. Verification includes automated checks against HM Revenue & Customs, Companies House and bank modulus validation, followed by a manual review by a member of our administration team. We may approve, reject, or request further information about any application, and we may revoke verification at any time if we subsequently become aware of inaccurate, misleading or non-compliant information. Rejected applicants may contact us to understand the reason and may re-apply where appropriate.

Subscription plans and fees

Access to the Services is provided on a subscription basis. We offer a Free plan and paid plans (currently Professional and Ultimate), with pricing that varies according to your declared annual turnover band. Current plans, features and prices are set out on our pricing page and are quoted exclusive of VAT. Paid subscriptions are billed monthly in advance via our payment provider, Stripe, by debit or credit card. By subscribing, you authorise us (via Stripe) to charge the payment method you provide for all applicable fees and taxes.

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time from your account's billing settings; cancellation takes effect at the end of your current paid period, and you will retain access to paid features until then. Upgrades between paid plans take effect immediately; unless otherwise stated at the point of purchase, downgrades and plan changes take effect at the next billing period and fees are not prorated. Fees are non-refundable except where required by law or expressly stated in these Terms. Failure to pay may result in suspension or termination of your account. We may change our prices or plan structures with at least 30 days' notice; changes will take effect at your next renewal.

Your bank details and directory listing

A core feature of the Services is the publication of your business profile and bank payment details for discovery by other authenticated Paylist users. Once your business is verified, your public profile and any bank accounts you add will be made available in accordance with the visibility setting you choose for each account: Public, Request access, or Private. By submitting bank details and selecting a visibility setting, you grant Paylist permission to display, store, process and transmit those details to other users as required to provide the Services. You represent and warrant that you have the legal right and all necessary internal authorisations to publish the bank details and other information you submit, and that the information is accurate and relates to an account under your control. You are solely responsible for keeping your bank details and visibility settings up to date.

Each verified bank account is assigned a unique Paylist number, which acts as a public identifier. Paylist numbers are non-transferable and remain associated with the account to which they were issued. We may reassign or revoke a Paylist number where we reasonably believe an account no longer meets our verification requirements or has been used in breach of these Terms.

Invitations

The Services allow you to send invitations to contacts to join Paylist. You are solely responsible for the recipients you choose, for the accuracy of the contact information you provide, and for the content of any custom message. You must not use the invitation feature to send unsolicited bulk communications, spam, or messages that are unlawful, harassing, misleading, deceptive or defamatory. You represent that you have a legitimate business reason for contacting each recipient and that you will comply with all applicable laws (including the Privacy and Electronic Communications Regulations and UK GDPR) in connection with your invitations. We may suspend or revoke access to the invitation feature if we reasonably believe it is being misused.

Accounting software integrations

On eligible plans, you may connect your Paylist account to third-party accounting software (currently Xero, QuickBooks and Sage) in order to synchronise contact records. By connecting a third-party service, you authorise Paylist to access and exchange data with that service on your behalf using the permissions you grant, and you represent that you are authorised to do so. Your use of any third-party service is governed by that provider's own terms and privacy policy, and we are not responsible for the availability, performance, security or content of third-party services. You may disconnect an integration at any time from your account settings; disconnection stops future synchronisation but does not delete data already synchronised to the third-party service.

Use of the service

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations, including financial and data protection laws. You must not: attempt to use or use the Services for fraudulent or unlawful financial activity; impersonate another person or business or misrepresent your authority; upload bank details or other information you are not authorised to publish; attempt to gain unauthorised access to the platform or to any other user's account; interfere with or disrupt the integrity or performance of the Services; upload malicious code or harmful data; scrape, harvest or systematically extract data from the directory other than through features we provide; or use the Services in any way that infringes the rights of others.

Banking and financial data

You acknowledge that the Services involve the handling of sensitive financial information, including bank account details. By using the Services, you grant Paylist permission to securely store, process, and transmit such data as necessary to provide the Services, including to other Paylist users in accordance with your visibility settings. You represent and warrant that you have the legal right to provide any banking or financial data submitted and that you have obtained all necessary consents from relevant parties. Paylist implements industry-standard security measures, including encryption and access controls, to protect financial data. However, no system is completely secure, and you acknowledge the inherent risks of data transmission and storage.

Data protection and privacy

Paylist processes personal data in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018. Our data handling practices are further described in our Privacy Policy. To the extent you act as a data controller or processor in respect of data you submit to the Services, you agree to comply with your own obligations under applicable data protection law, including providing appropriate notices and obtaining any required consents from data subjects.

Third-party services

The Services rely on and may integrate with third-party payment processors, hosting providers, accounting software, banks and other service providers. Your use of such services may be subject to separate terms and conditions between you and the relevant provider. We are not responsible for the performance, security, or practices of third-party services.

Intellectual property

All intellectual property rights in the Services, including software, content, branding and trademarks, are owned by or licensed to MYPAYLIST LTD. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes for the duration of your subscription. You must not copy, modify, distribute, sell, lease, sublicense or reverse engineer any part of the Services, nor use the Services to build a competing product. You retain all rights in the content and data you submit, and grant us a non-exclusive licence to use it solely as necessary to provide and improve the Services.

Confidentiality

Both parties agree to keep confidential any non-public, proprietary information disclosed in connection with the Services, to use it only for the purposes of the Services, and to protect it with at least the same degree of care as they use for their own confidential information. This obligation shall survive termination of these Terms.

Service availability

We aim to provide continuous access to the Services but do not guarantee uninterrupted or error-free availability. Maintenance, updates, or unforeseen issues may result in temporary downtime. Our website and services rely on third-party infrastructure (including hosting providers, network services, and external platforms); availability may be affected by factors outside of our reasonable control, including outages, interruptions, or degradation of such third-party services, and we shall not be liable for any failure, delay, or interruption resulting from such causes.

Limitation of liability

To the maximum extent permitted by law, Paylist shall not be liable for any indirect, incidental, special or consequential damages; loss of profits, revenue or business opportunities; or loss or corruption of data. Our total aggregate liability for any claim arising out of or in connection with the Services shall not exceed the total fees paid by you in the 12 months preceding the claim, or, where the Services have been provided free of charge, £100. Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded or limited by applicable law.

Indemnification

You agree to indemnify and hold harmless MYPAYLIST LTD, its officers, employees and agents from any claims, damages, losses or expenses (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, your submission of inaccurate or unauthorised information (including bank details), your use of the invitation feature, or your violation of any applicable laws or third-party rights.

Termination

You may terminate your subscription at any time in accordance with your billing terms; cancellation will take effect at the end of your current paid period. We may suspend or terminate your access immediately if you breach these Terms, if we are required to do so by law, or if we reasonably believe your account is being used for fraudulent, unlawful or abusive purposes. On termination, your right to use the Services will cease, any linked third-party software will be disconnected from your account, your directory listing will be removed, and we may delete your data in accordance with our retention policies. Prior to deletion you may request an export of your data in a commonly-used format.

Governing law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

General provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any order or plan details presented at the point of purchase, constitute the entire agreement between you and MYPAYLIST LTD regarding the Services and supersede any prior agreements. Notices to you may be given by email to the address associated with your account or by posting to the Services; notices to us should be sent to hello@mypaylist.com.

Changes to these terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page with a revised date, and where required by law or where changes are significant, by email. Continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
